Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Splead website, mobile application, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Platform.

1. The Splead Platform

​

Splead is a technology platform that facilitates coordination between service merchants (“Merchants”) and independent service providers (“Agents”).

Splead does not:

  • Provide services directly

  • Employ Agents

  • Act as a contractor, subcontractor, employer, or agent of any user

  • Guarantee job availability, earnings, or outcomes

All service agreements and obligations are solely between Merchants and Agents.

2. User Accounts

​

To use certain features of the Platform, you must create an account and provide accurate, current information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activities that occur under your account

Splead reserves the right to suspend or terminate accounts that violate these Terms.

3. Merchant Responsibilities

​

Merchants are solely responsible for:

  • Posting accurate job descriptions, pricing, and requirements

  • Ensuring compliance with applicable laws and regulations

  • Any disputes, payments, or agreements with Agents

Splead does not verify the quality, legality, or suitability of posted jobs.

4. Agent Responsibilities

​

Agents operate as independent contractors and are not employees of Splead.

Agents are solely responsible for:

  • Completing accepted jobs professionally and lawfully

  • Any taxes, licenses, permits, or insurance required

  • Collecting payment from customers, unless otherwise agreed with a Merchant

Splead does not control how Agents perform services.

5. Job Acceptance and Completion

​

Jobs posted on the Platform may be made available to multiple Agents.
The first Agent to accept a job may be assigned the job, subject to availability and platform rules.

Splead does not guarantee that:

  • A job will be accepted

  • A job will be completed

  • Any specific outcome will occur

6. Payments and Fees

​

Splead may charge a platform fee calculated as a percentage of completed jobs.

Important:

  • Splead is not a payment processor

  • Splead does not hold or transmit customer funds

  • Payments occur directly between users or through third-party payment providers

Users are responsible for all taxes and reporting obligations related to their earnings.

7. Platform Availability

​

The Platform is provided on an “as is” and “as available” basis.

Splead does not guarantee uninterrupted access and may modify, suspend, or discontinue features at any time without notice.

8. Prohibited Conduct

​

You agree not to:

  • Misrepresent your identity or qualifications

  • Post false or misleading job information

  • Use the Platform for unlawful purposes

  • Attempt to circumvent platform fees or systems

  • Interfere with the operation or security of the Platform

Violations may result in account termination.

9. Disclaimers

​

Splead makes no warranties regarding:

  • Job availability

  • Earnings or income

  • Performance or conduct of users

All services are used at your own risk.

10. Limitation of Liability

​

To the maximum extent permitted by law, Splead shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Platform.

Splead’s total liability shall not exceed the amount of fees paid to Splead, if any, in the preceding twelve (12) months.

11. Indemnification

​

You agree to indemnify and hold harmless Splead from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform

  • Your interactions with other users

  • Your violation of these Terms

  • ​

12. Termination

​

Splead may suspend or terminate your access to the Platform at any time, with or without cause, at its sole discretion.

13. Governing Law

​

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

14. Changes to Terms

​

Splead may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
